2025 Annual Report of Independent Director
To all shareholders and shareholder representatives:
As an independent director of Beijing Hezhong Sizhuang Technology Co., Ltd. (hereinafter referred to as the "Company"), in 2025, I strictly adhered to the provisions of laws and regulations such as the "Company Law," "Securities Law," "Administrative Measures for Independent Directors of Listed Companies," and the "Normative Operation Rules for Main Board Listed Companies" of the Shenzhen Stock Exchange, as well as the "Articles of Association." I diligently exercised the rights granted by the Company, promptly understood the Company's production and operation information, paid close attention to the Company's development, and actively attended relevant meetings held by the Company in 2025. I provided objective, prudent, and fair review opinions on major Company matters, actively safeguarding the interests of the Company and its shareholders, especially small and medium shareholders. This report outlines my performance in 2025:
I. Basic Information
1. Basic Information of Independent Director
Mr. Wu Long, born in June 1982, is a professor, doctoral supervisor, and holds a doctoral degree. He graduated from Huazhong University of Science and Technology. Since December 2009, he has been teaching at the School of Business, Henan University. He was selected for the Ministry of Finance's High-Level Financial and Accounting Talent Quality Improvement Project (Young and Middle-aged Talent - Academic Class), is a recipient of the Henan Provincial Government Special Allowance, and is a recipient of the Central Plains Youth Top Talent Award, Henan Provincial High-Level Talent Award, and Henan Provincial Accounting Leading Talent. From September 2011 to September 2012, he served as Deputy Director of the Economic Development Research Office of the Henan Provincial Government (seconded). From August 2020 to August 2021, he served as Deputy Director of the Kaifeng Municipal Bureau of Commerce (seconded). Since April 2020, he has served as an independent director of Xinxiang Chemical Fiber (000949.SZ). Since November 2021, he has served as an independent director of Huaxi Technology (920895.BJ). Since July 2024, he has served as an independent director of Henan Qixian Rural Commercial Bank Co., Ltd. Since August 2025, he has served as an external director of Kaifeng State-owned Assets Investment and Operation Group Co., Ltd. Since September 2025, he has served as an external director of Kaifeng Investment Group Co., Ltd. Since May 2024, he has served as an independent director of this Company.
2. Self-Assessment of Independence
In accordance with the "Administrative Measures for Independent Directors of Listed Companies," "Normative Operation Rules for Main Board Listed Companies" of the Shenzhen Stock Exchange, and other relevant regulations, I, as an independent director of the Company, have conducted a self-assessment of my independence. In 2025, I did not hold any positions in the Company other than independent director, nor did I hold any positions in the Company's major shareholder companies. There are no conflicts of interest or other relationships between me and the Company or its major shareholders that could hinder my independent and objective judgment. My tenure meets the independence requirements stipulated in the "Administrative Measures for Independent Directors of Listed Companies," and there are no circumstances that affect my independence.
