Nanjing KeYuan Smart Technology Group Co., Ltd. (hereinafter referred to as the "Company") held the third meeting of the seventh Board of Directors on April 13, 2026, and approved the "Proposal on Re-engaging the Company's 2026 Audit Institution." The Company intends to continue to engage Certified Public Accountants (Special General Partnership) (hereinafter referred to as "Zheng Tianye") as the Company's 2026 audit institution. The term of engagement is one year, effective from the date of approval by the 2025 shareholder meeting. The relevant matters are hereby announced as follows:
I. Explanation of the Matter of Re-engaging the Accounting Firm
Zheng Tianye possesses the qualifications for auditing securities business and has the experience and capability to provide audit services to listed companies. In its audit services for the Company, it has adhered to the professional principles of independence, objectivity, and fairness, diligently performed its duties, provided high-quality audit services to the Company, and its issued reports objectively and truthfully reflect the Company's actual situation, financial status, and operating results. It has diligently fulfilled its responsibilities as an audit institution and, from a professional perspective, protected the legitimate rights and interests of the Company and its shareholders. The Company's Board of Directors hereby requests the shareholder meeting to authorize the Company's management to negotiate the relevant audit fees with Zheng Tianye Accounting Firm based on the specific audit requirements and scope for the Company's 2026 audit.
