(hereinafter referred to as the "Company") notified all directors of the sixth meeting of the seventh Board of Directors on May 8, 2026, through written, telephone, fax, email, and other methods. The meeting was held by written voting on May 15, 2026. Five directors participated in the meeting, which complies with the provisions of the "Company Law" and the "Articles of Association." The meeting passed the following resolutions by written voting:
- The motion to increase capital for the wholly-owned subsidiary was deliberated and approved by 5 votes in favor, 0 votes against, and 0 abstentions.
To meet the business development needs of Yasha Construction (Macau) Co., Ltd. (hereinafter referred to as "Yasha Construction") and satisfy its demand for working capital for daily operations, and to provide strong support for Yasha Construction's overseas market expansion, the Company agrees to increase capital for its wholly-owned subsidiary Yasha Construction with its own funds amounting to 11.2752 million Macanese Patacas (approximately 1.3969 million US dollars, converted based on the RMB exchange rate midpoint announced by the People's Bank of China on May 15, 2026, subject to the exchange rate at the actual time of capital increase). The entire amount of the capital increase will be added to the capital reserve. After the capital increase, the registered capital of Yasha Construction will remain unchanged at 25,000 Macanese Patacas, and the Company's total investment will be 1.40 million US dollars.
