Legal Opinion on Adjustments to the Fourth Phase Employee Stock Ownership Plan of Zhejiang Yasha Decoration Co., Ltd.

Pursuant to the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Guiding Opinions on Pilot Implementation of Employee Stock Ownership Plans for Listed Companies, the Shenzhen Stock Exchange Main Board Listed Company Self-Regulatory Management Guide No. 1 – Normative Operation of Listed Companies, and other relevant laws, administrative regulations, departmental rules, normative documents, and the Articles of Association of Zhejiang Yasha Decoration Co., Ltd. (hereinafter referred to as the "Articles of Association"), Zhejiang Jingheng Law Firm (hereinafter referred to as the "Firm") has been entrusted by Zhejiang Yasha Decoration Co., Ltd. (hereinafter referred to as "Yasha Shares" or the "Company") to issue this legal opinion on the adjustments to the fourth phase employee stock ownership plan (hereinafter referred to as the "Current Employee Stock Ownership Plan").
The Firm and its handling lawyers have, in accordance with the Securities Law, the Administrative Measures for Securities Legal Business of Law Firms, and the Practice Rules for Securities Legal Business of Law Firms (Trial), and based on facts that have occurred or existed prior to the issuance of this legal opinion, strictly performed their statutory duties, adhered to the principles of diligence, conscientiousness, and good faith, conducted thorough investigations and verifications, and ensured that the facts identified in this legal opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false records, misleading statements, or material omissions, and shall bear corresponding legal responsibilities.
The Company has made a commitment to the Firm's lawyers, guaranteeing that all documents and information provided to the Firm and all statements and explanations made are complete, true, and valid, and that all facts and documents that could affect this legal opinion have been disclosed to the Firm without any concealment or material omission; it guarantees that all signatures and seals in the provided documents are genuine, and that all copies, duplicates, or scanned copies of documents are consistent with the originals.
The matters discussed in this legal opinion are limited to facts that have occurred or existed prior to the date of issuance of this legal opinion; and the Firm expresses its opinions solely on legal issues related to the adjustments of the Company's current employee stock ownership plan, based on its understanding of the currently effective laws, regulations, and normative documents in China.
The Firm agrees that the Company may quote all or part of the content of this legal opinion in relevant documents prepared by the Company for the adjustments to the current employee stock ownership plan, provided that such quotation does not cause any legal ambiguity or misinterpretation.
This legal opinion is for the sole purpose of the adjustments to the Company's current employee stock ownership plan and may not be used for any other purpose or relied upon by any other person without the Firm's written consent.
The Firm, in accordance with the generally accepted professional standards, ethical norms, and the spirit of diligence and conscientiousness of the legal profession, issues the following legal opinion:
I. Approval of Adjustments to the Current Employee Stock Ownership Plan
According to the relevant documents provided by the Company, as of the date of issuance of this legal opinion, the approvals obtained by the Company for the adjustments to the current employee stock ownership plan are as follows:
(I) Review by the Holders' Meeting
On April 21, 2026, the Company held the second meeting of the holders of the fourth phase employee stock ownership plan, which deliberated and passed the "Proposal on Adjusting Matters Related to the Fourth Phase Employee Stock Ownership Plan."
