Zhejiang Yasha Decoration Co., Ltd. Announcement on the 2025 Profit Distribution Proposal

I. Deliberation Procedures Zhejiang Yasha Decoration Co., Ltd. (hereinafter referred to as the "Company") held the Fifth Meeting of the Seventh Board of Directors on April 24, 2026, and deliberated and approved the "Proposal on the 2025 Profit Distribution Plan." This proposal needs to be submitted to the Company's 2025 Annual Shareholders' Meeting for deliberation and approval.
II. Basic Situation of the Profit Distribution and Capital Reserve Conversion to Share Capital Plan Audited by Rongcheng Certified Public Accountants (Special General Partnership), the Company's (parent company) net profit in 2025 was RMB 338,810,304.56. After deducting 10% for statutory surplus reserve, which is RMB 33,881,030.46, and adding the undistributed profit at the beginning of the year of RMB 2,419,904,544.43, and subtracting the cash dividend distribution of RMB 90,912,506.58 in 2024, the undistributed profit of the parent company as of December 31, 2025, was RMB 2,633,921,311.95. The Company will distribute profits this year. Based on the latest total share capital after deducting shares in the repurchase account as of the equity registration date for dividend distribution, the Company will distribute a cash dividend of RMB 1.28 per 10 shares (tax inclusive) to all shareholders. The Company will not convert capital reserve to share capital or issue bonus shares this year. The total cash dividend for this year is RMB 166,240,012.03, accounting for 50.38% of the net profit attributable to shareholders of the parent company in 2025. If the total share capital of the Company changes from the disclosure of this profit distribution proposal to its implementation, the distribution ratio will be adjusted according to the principle of maintaining the total distribution amount unchanged.
