Shandong Zhongrui Industrial Development Co., Ltd. (hereinafter referred to as the "Company") recently received the resignation reports from its independent directors. Mr. Liu Shengjun and Mr. Guo Bin have applied to resign as independent directors of the Company and their respective special committee positions due to personal reasons. After their resignation, they will not hold any positions in the Company or its holding subsidiaries.
The original term of office for Mr. Liu Shengjun and Mr. Guo Bin was scheduled to end on November 12, 2025, or upon the expiration of the term of the Seventh Board of Directors. Their resignations will result in the number of independent directors being less than one-third of the Board of Directors. In accordance with the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 1 - Normative Operation of Main Board Listed Companies," and other laws and regulations, as well as the "Articles of Association," the resignations of Mr. Liu Shengjun and Mr. Guo Bin will take effect after new independent directors are elected by the shareholders' meeting. Before the new independent directors take office, Mr. Liu Shengjun and Mr. Guo Bin will continue to perform their duties as independent directors and in the special committees of the Board of Directors in accordance with relevant laws and regulations and the "Articles of Association."
