I. Overview of Guarantee Situation
(I) Basic Situation To support the overseas business development of Hangzhou Zhongheng Electric Co., Ltd.'s (hereinafter referred to as the "Company") wholly-owned overseas subsidiary, ENERVELL POWER PTE. LTD. (hereinafter referred to as "ENERVELL"), meet its daily operating capital needs, and enhance its credit rating for undertaking projects, it is proposed to apply for a comprehensive credit line of no more than RMB 50 million from financial institutions, for which the Company will provide a joint liability guarantee for ENERVELL's aforementioned credit business.
(II) Deliberation Situation On April 17, 2026, the Company held the seventh meeting of the ninth Board of Directors, which deliberated and approved the "Proposal on Providing Guarantee for Overseas Subsidiary." In accordance with the "Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange," the "Articles of Association," and other relevant regulations, this matter needs to be submitted for deliberation by the Company's shareholders' meeting.
