Special Report on the Self-Inspection of Independent Directors' Independence by the Board of Directors
According to the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Main Board Listed Company Regulation No. 1 - Normative Operation of Main Board Listed Companies," and other requirements, the Board of Directors of Hangzhou Zhongheng Electric Co., Ltd. (hereinafter referred to as the "Company") has evaluated the independence of its current independent directors Jiang Ning, Ye Xiaojian, and Zeng Pingliang and hereby submits this special report:
After reviewing the "Independent Directors' Independence Self-Inspection Forms" submitted by the three independent directors, the Board of Directors believes that independent directors Jiang Ning, Ye Xiaojian, and Zeng Pingliang do not fall under the circumstances that prohibit them from serving as independent directors as stipulated in Article 6 of the "Administrative Measures for Independent Directors of Listed Companies." They have no conflicts of interest with the Company or its major shareholders, nor any other relationships that could hinder their independent and objective judgment. They meet the relevant requirements for the independence of independent directors as stipulated in the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Main Board Listed Company Regulation No. 1 - Normative Operation of Main Board Listed Companies," and other relevant rules.
