Board of Directors' Special Opinion on Independent Directors' Independence Self-Inspection
In accordance with the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Main Board Listed Company Standardized Operation Guide No. 1," "Articles of Association," and the "Work System for Independent Directors," and combined with the "Self-Inspection Report on Independence by Independent Directors" issued by the independent directors, the Company's Board of Directors hereby issues the following special opinion on the independence of incumbent independent directors Mr. Xu Zhigang, Mr. Zhang Jiang, and Mr. Sun Dekun:
Upon review, based on the professional experience of independent directors Mr. Xu Zhigang, Mr. Zhang Jiang, and Mr. Sun Dekun, and the content of the signed self-inspection documents, the Company's Board of Directors believes that the aforementioned individuals do not hold any positions in the Company other than independent director, nor do they hold any positions with the Company's major shareholders. They have no relationship of interest with the Company or its major shareholders, or any other relationship that may hinder their independent and objective judgment, and there are no other circumstances affecting the independence of independent directors. Therefore, the Company's independent directors meet the relevant requirements for the independence of independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Main Board Listed Company Standardized Operation Guide No. 1," and the "Articles of Association."
