As an independent director of Shanxi Tongde Chemical Co., Ltd. (hereinafter referred to as the "Company"), for the year 2025, in accordance with the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 1 - Normative Operation of Main Board Listed Companies," and the "Articles of Association of Shanxi Tongde Chemical Co., Ltd." (hereinafter referred to as the "Articles of Association"), with a sense of responsibility to all shareholders, I have diligently, honestly, and conscientiously performed my duties, prudently exercised the rights granted by the Company and shareholders, actively participated in shareholder meetings, board meetings, and special committee meetings, fully played the role of an independent director, and protected the legitimate rights and interests of all shareholders, especially small and medium shareholders. The report on my performance in 2025 is as follows:
I. Basic Information of Independent Directors
- Basic Information I am Zan Zhihong, male, born in 1962, with a Master's degree in Economics. I am a professor at Shanxi University of Finance and Economics, a master's supervisor for Finance and Public Administration (MPA), a teaching master, and a key young and middle-aged backbone teacher in ordinary colleges and universities in Shanxi Province. I am also the Vice President of the Shanxi Provincial Fiscal Accounting Society, an expert consultant for the Party Group of the Shanxi Provincial Department of Finance, an internal control expert, a consulting expert for the Standing Committee of the Shanxi Provincial People's Congress, a director of the Shanxi Provincial Finance Society and Accounting Society, the President of the Taiyuan Accounting Society, and the Vice President of the Finance Society. I previously served as an independent director of Daqin Railway Co., Ltd., and currently serve as an independent director of this Company, Shanxi Coal International Energy Group Co., Ltd., Shenzhen Huakong Seg Co., Ltd., and an independent non-executive director of China Tongcai Education Group Limited.
