According to the Securities Law of the People's Republic of China, the Company Law of the People's Republic of China, the Rules for General Meetings of Shareholders of Listed Companies issued by the China Securities Regulatory Commission (hereinafter referred to as the "Rules for General Meetings"), the Administrative Measures for Law Firms Engaging in Securities Legal Business (hereinafter referred to as the "Securities Legal Business Management Measures"), and the Articles of Association of Beixun Group Co., Ltd. (hereinafter referred to as "Beixun Group"), Beijing Zhide Law Firm (hereinafter referred to as "this firm") appointed lawyers to attend the 2020 Annual General Meeting of Shareholders of Beixun Group (hereinafter referred to as "this meeting") and issued this legal opinion. The lawyers of this firm have verified the authenticity and legality of this meeting in accordance with the requirements of the Rules for General Meetings and have expressed their legal opinions; there are no false records, misleading statements, or material omissions in this legal opinion, otherwise, the lawyers of this firm will bear corresponding legal responsibilities.
