Chapter 1 General Provisions
Article 1 To standardize the compensation and performance of directors and senior management of Sichuan Fulunyunye Group Co., Ltd. (hereinafter referred to as the "Company"), establish a sound incentive and restraint mechanism that meets the requirements of modern corporate governance, fully mobilize work enthusiasm and creativity, and improve the level of enterprise operation and management, in accordance with the "Company Law," "Corporate Governance Guidelines for Listed Companies," and "Articles of Association" and other relevant laws and regulations, combined with the actual situation of the Company, these Measures are hereby formulated.
Article 2 Personnel included in the performance evaluation of these Measures include: directors (excluding independent directors), the general manager, the chief accountant, (executive) deputy general managers, the board secretary, and other personnel approved by the Company's Compensation and Performance Evaluation Committee.
Article 3 The determination of compensation shall follow the following principles: (1) The principle of open, just, and fair compensation standards; (2) The principle of matching compensation with company operating performance and individual performance evaluation, and coordinating with the company's sustainable development; (3) The principle of combining compensation with the actual operating conditions of the company; (4) The principle of combining compensation with rights, responsibilities, and benefits; (5) The principle of balancing incentives and constraints.
