In accordance with the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Main Board Listed Company Regulatory Guidelines No. 1 - Standardized Operation of Main Board Listed Companies," and other relevant laws, regulations, and rules, as well as the "Company Articles of Association" and the company's "Work System for Independent Directors," I, as an independent director of Xingmin Zhizhi (Group) Co., Ltd. (hereinafter referred to as the "Company"), hereby report on my fulfillment of independent director duties in 2025:
I. Basic Information of Independent Director
Shi Qin: Female, born in 1963, Chinese national, member of the Communist Party of China, with no permanent right of abode overseas. Doctor of Engineering, Professor at Hefei University of Technology. Teaching at Hefei University of Technology from 2005 to present. Currently serves as President of the Anhui Province Automotive Industry Association, Director of the Anhui Province Key Laboratory of Autonomous Driving Vehicle Safety Technology, Director of the Anhui Province Intelligent Transportation Vehicle-Road Coordination Engineering Research Center, and Independent Director of Xingmin Zhizhi.
As an independent director of the Company, upon self-examination, I meet the requirements for independence stipulated in the "Administrative Measures for Independent Directors of Listed Companies" and the "Shenzhen Stock Exchange Main Board Listed Company Regulatory Guidelines No. 1 - Standardized Operation of Main Board Listed Companies," and there are no circumstances that affect my independence.
