I. Basic Information
Xingmin Intelligent Transportation (Group) Co., Ltd. (hereinafter referred to as the "Company" or "Xingmin Intelligent Transportation") held the 20th meeting of the Third Board of Directors on September 22, 2016, and approved the "Proposal on the Acquisition of Part of the Equity of Beijing Nine-Five Smart Driving Information Technology Co., Ltd." On the same day, the Company signed the "Equity Acquisition Agreement for Beijing Nine-Five Smart Driving Information Technology Co., Ltd." (hereinafter referred to as the "Equity Acquisition Agreement") with the shareholders of Beijing Nine-Five Smart Driving Information Technology Co., Ltd. (hereinafter referred to as "Nine-Five Smart Driving"), including Zhu Wenli, Chen Wei, Gaode Software Co., Ltd., Shanghai Internet of Things Venture Capital Fund (Limited Partnership), and Shenzhen Qianhai Internet of Vehicles Industry Investment Fund (Limited Partnership). The Company also signed the "Agreement on Performance Commitments and Corporate Governance" with Zhu Wenli and Chen Zhifang.
