Legal Opinion on the 2025 Annual General Meeting of Yantai Jereh Oilfield Services Group Co., Ltd.

Shandong Xin Fu Lai Yuan Law Firm (hereinafter referred to as "the Firm") was entrusted by Yantai Jereh Oilfield Services Group Co., Ltd. (hereinafter referred to as "the Company") to appoint its lawyers, Gao Qiang and Teng Xiaofeng (hereinafter referred to as "the Firm's lawyers"), to attend the 2025 Annual General Meeting convened by the Company on May 7, 2026. Based on the Company's entrustment, the Firm's lawyers have conducted a legal review of the matters related to the Company's annual general meeting and hereby issue this legal opinion.
In accordance with the provisions of the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Rules for Shareholders' Meetings of Listed Companies," the "Guidelines for Corporate Governance of Listed Companies," the "Shenzhen Stock Exchange Stock Listing Rules," and other current laws, administrative regulations, departmental rules, and normative documents of China (hereinafter referred to as "laws and regulations"), as well as the "Articles of Association of Yantai Jereh Oilfield Services Group Co., Ltd." (hereinafter referred to as the "Articles of Association"), and in accordance with the universally recognized business standards, ethical norms, and the spirit of diligence and responsibility of the legal profession, the Firm's lawyers hereby issue the following legal opinion:
