I. Deliberation Procedures
Shenzhen Edifier Technology Co., Ltd. (hereinafter referred to as the "Company") convened the third meeting of the seventh Board of Directors on March 26, 2026. The meeting deliberated and approved the "2025 Profit Distribution Plan" with 11 votes in favor, 0 votes against, and 0 abstentions. This plan needs to be submitted for approval by the 2025 Annual Shareholders' Meeting before it can be implemented.
II. Basic Information of the 2025 Profit Distribution Plan
According to the audit by Rongcheng Certified Public Accountants (Special General Partnership), the Company's consolidated net profit attributable to the listed company for 2025 was RMB 430,994,066.32, and the parent company's net profit was RMB 203,107,115.01. After deducting the statutory surplus reserve of RMB 20,310,711.50, adding the undistributed profit at the beginning of the year of RMB 250,705,803.76, and subtracting the profit distributed in 2025 of RMB 221,001,750.00, the parent company's distributable profit at the end of the period was RMB 212,500,457.27. The balance of the capital reserve was RMB 423,834,876.37.
