Management System for Resignation of Directors and Senior Management
Chapter 1 General Provisions
Article 1 To regulate the resignation procedures for directors and senior management of Beijing Keli Rui Group Co., Ltd. (hereinafter referred to as the "Company"), ensure the continuity and stability of the corporate governance structure, and protect the legitimate rights and interests of the Company and all shareholders, in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China," the "Code of Corporate Governance for Listed Companies," the "Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange," and other relevant laws and regulations, as well as the "Articles of Association of Beijing Keli Rui Group Co., Ltd." (hereinafter referred to as the "Articles of Association"), and in combination with the Company's actual situation, this system is formulated.
Article 2 This system applies to situations where the Company's directors (including independent directors) and senior management resign due to the expiration of their term without re-election, resignation, dismissal, retirement, or other reasons.
Chapter 2 Resignation Circumstances and Effective Conditions
Article 3 Before the expiration of their term, company directors may resign, and senior management may resign. Directors submitting resignations or senior management submitting resignations shall submit a written resignation report to the Company, which should state the reasons for resignation, the resignation date, and whether they will continue to hold positions in the Company and its holding subsidiaries after resignation (if continuing to hold positions, the details of continued employment should be specified). A director's resignation shall take effect on the date the Company receives the notification report, provided that if the circumstances stipulated in Article 4 of this system exist, the director shall continue to perform their duties. A senior manager's resignation shall take effect upon receipt of the resignation report by the Board of Directors. The Company shall disclose relevant information about the departure within two trading days.
