I. Basic Situation of the Factory Lease Agreement (I) Deliberation on the Original Factory Lease Agreement On August 27, 2024, Guangdong Gaole Co., Ltd. (hereinafter referred to as the "Company") held the eighth meeting of the eighth Board of Directors, which reviewed and approved the "Proposal on the Wholly-Owned Subsidiary Signing a Factory Lease Agreement and Related Party Transaction." The independent directors of the Company held a special meeting to review this related party transaction and issued a unanimous opinion. On September 20, 2024, the Company's 2024 Third Extraordinary General Meeting of Shareholders reviewed and approved it. The owner of the factory is Zhejiang Huatong Meat Products Co., Ltd. (hereinafter referred to as "Huatong Shares"). The leased factory is located at Factory Building No. 6, Guyang Industrial Zone, Yiwu City. The usable area of the factory is 17,660.16 square meters, with a rental price of 32 yuan/m²/month, totaling an annual rent of 6,781,501.44 yuan. In view of the current new energy industry policies, industry development trends, market conditions, business environment, and operating conditions, Gaole New Energy plans to terminate the solid-state battery project and terminate the agreements related to the solid-state battery project. After friendly negotiation between both parties, a "Lease Agreement Termination Agreement" was recently signed to terminate the original "Lease Agreement" signed by both parties.
(II) Explanation of Related Party Relationship Gaole New Energy Technology (Zhejiang) Co., Ltd. (hereinafter referred to as "Gaole New Energy") is a wholly-owned subsidiary of the Company. Currently, Mr. Zhu Jianyong, the executive director of Gaole New Energy, serves as a director of Huatong Shares. Therefore, the wholly-owned subsidiary and Huatong Shares have a related party relationship, which conforms to the circumstances stipulated in the "Shenzhen Stock Exchange Stock Listing Rules."
