I. Resignation of the Chairperson
Cewei Media Co., Ltd. (hereinafter referred to as the "Company") recently received a written resignation report from its Chairperson, Ms. Hua Yuping. Due to job adjustments, Ms. Hua Yuping has resigned from her positions as Chairperson, Director, and member of the Strategy Committee of the Ninth Board of Directors. Following her resignation, Ms. Hua Yuping will no longer hold any positions in the Company or its subsidiaries.
Ms. Hua Yuping's original term was set to expire on the date of the expiration of the term of the Ninth Board of Directors (the expiration date is June 13, 2025. Due to the postponement of the Company's board election, the terms of the Company's board and senior management have been extended accordingly. For details, please refer to the "Notice of Postponement of Board Election" disclosed by the Company on June 7, 2025, Announcement Number: 2025-046).
In accordance with the provisions of the "Company Law," "Articles of Association," and other relevant regulations, Ms. Hua Yuping's resignation will not result in the number of directors on the Company's board falling below the legal minimum, nor will it affect the normal operation of the board or the normal operation of the Company.
