Beijing Deheng (Jinan) Law Offices (hereinafter referred to as "the Firm") has been entrusted by Jicheng Electronics Co., Ltd. (hereinafter referred to as "the Company") to appoint lawyer Liu Yuan and lawyer Xu Changlong (hereinafter referred to as "the Firm's lawyers") to attend the 2025 Annual General Meeting of the Company (hereinafter referred to as "the Meeting") and, in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "Company Law"), the Rules for Shareholders' Meetings of Listed Companies (hereinafter referred to as "Shareholders' Meeting Rules"), and other effective laws, regulations, and normative documents, as well as the Articles of Association of Jicheng Electronics Co., Ltd. (hereinafter referred to as "Articles of Association") and the Rules of Procedure for Shareholders' Meetings of Jicheng Electronics Co., Ltd. (hereinafter referred to as "Meeting Procedures"), to witness the Meeting and issue this legal opinion.
In this legal opinion, the Firm's lawyers will only express opinions on whether the convocation and convening procedures, attendee qualifications, convener qualifications, meeting voting procedures, and voting results of the Meeting comply with the provisions of the Company Law, Shareholders' Meeting Rules, and other relevant laws, regulations, normative documents, the Articles of Association, and the Meeting Procedures. The Firm's lawyers will not express opinions on the content of the proposals reviewed at the Meeting or the truthfulness and accuracy of the facts or data stated in these proposals.
