I. Basic Situation of Related Party Transactions
- Overview of Related Party Transactions In 2026, the Company expects to engage in related party transactions with entities such as the Changchun Institute of Optics, Fine Mechanics and Physics, Chinese Academy of Sciences (hereinafter referred to as "Changchun Institute of Optics"), and Changchun Changguang HENG Sensing Technology Co., Ltd. (hereinafter referred to as "Changguang HENG") for the sale of products, provision of R&D and processing services, procurement of goods, and leasing of factory premises. The estimated annual related party transaction amount for 2026 will not exceed RMB 36,553.79 million (excluding tax). In 2025, the actual total amount of related party transactions with the aforementioned related parties was RMB 27,647.91 million (excluding tax). The Eighth Board of Directors' Eleventh Meeting, held on April 20, 2026, approved the "Proposal on Estimated Annual Related Party Transactions for 2026." Related directors Gao Jinsong, Han Chengshan, Xue Donglin, and Chu Hairong abstained from voting. Before submission to the Board of Directors, this related party transaction matter was unanimously approved by the Independent Directors' Special Committee at its First Meeting in 2026.
