2025 Annual Report of Independent Director
Independent Director: Chen Liang
As an Independent Director of Hoàng Imperial Group Co., Ltd. (hereinafter referred to as the "Company") for the seventh session of the Board of Directors, during the 2025 term, I strictly followed the "Company Law," "Securities Law," "Administrative Measures for Independent Directors of Listed Companies," and other relevant laws, regulations, normative documents, and the "Articles of Association" and "Independent Director System" requirements. I diligently performed my duties, fully leveraged my independence and professional expertise, and effectively protected the overall interests of the Company and the legitimate rights and interests of shareholders, particularly small and medium shareholders. The following is a report of my performance in 2025:
I. Basic Information of Independent Director
I was born in 1973, hold a Ph.D. in Management from Central South University, and have the title of Professor. From December 2012 to January 2019, I served as an independent director of the Company. From July 1994 to June 2002, I was an assistant lecturer and lecturer at the University of South China. From June 2002 to June 2015, I was an associate dean, professor, and master's supervisor at the School of Management, Guilin University of Technology, a member of the Ninth Committee of the Guangxi Youth Federation, and the director of the Modern Enterprise Management Research Institute of Guilin University of Technology. From January 2016 to December 2016, I was seconded as the General Manager of the Development and Planning Department of Guilin Bank. From April 2017 to April 2022, I was appointed as the General Manager of Guilin Culture and Sports Industry Investment and Development Group (a large state-owned enterprise). Since May 2022, I have been a professor and master's supervisor at the Business School of Guilin University of Technology, and since May 2023, I have been an independent director of the Company.
