Special Report on the Self-Inspection of Independent Directors' Independence
In accordance with the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Stock Listing Rules," and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guide No. 1 - Normative Operation of Main Board Listed Companies," etc., the Board of Directors of Huangshi Group Co., Ltd. (hereinafter referred to as the "Company") hereby evaluates the independence of its incumbent independent directors Ms. Zhou Bailing, Mr. Xu Chunming, and Mr. Chen Liang, and issues the following special opinion:
Upon verification of the resumes of independent directors Ms. Zhou Bailing, Mr. Xu Chunming, and Mr. Chen Liang, and the signed relevant self-inspection documents, it is confirmed that the aforementioned individuals do not hold any positions in the Company other than independent director, nor do they hold any positions in the Company's major shareholder companies. They have no relationship of interest with the Company or its major shareholders, or other relationships that may hinder their independent and objective judgment. There are no circumstances that affect the independence of the independent directors, and they comply with the relevant requirements for the independence of independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies" and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guide No. 1 - Normative Operation of Main Board Listed Companies."
