As an independent director of Shenzhen Cozylife Home Furnishings Co., Ltd. (hereinafter referred to as the "Company"), during my term of office in 2025, I have strictly adhered to the provisions of the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China," the "Administrative Measures for Independent Directors of Listed Companies," and other laws and regulations, as well as the business rules of the Shenzhen Stock Exchange, and the "Articles of Association of Shenzhen Cozylife Home Furnishings Co., Ltd." (hereinafter referred to as the "Articles of Association") and the "Work System for Independent Directors" and other internal company systems. I have conscientiously exercised my powers, actively played the role of an independent director, continuously improved the company's standardized operation level, and protected the legitimate rights and interests of shareholders. (I) Work Experience, Professional Background, and Concurrent Positions of Independent Directors
My name is Zeng Fanyue. I was born in 1963 and hold a college degree. I have the title of accountant and am a non-practicing certified public accountant. I have obtained the qualification certificate for independent directors recognized by the Shenzhen Stock Exchange. I have previously worked at Sichuan Dayi Salt Factory, Shekou Zhonghua Certified Public Accountants, Shenzhen Certified Public Accountants Association, Deloitte Hua Yong Certified Public Accountants, and China Merchants Shekou Industrial Zone Holdings Co., Ltd., among others. Since November 2022, I have served as an independent director of Shenzhen Wal-Mart Material Co., Ltd. (002130.SZ). Since January 2024, I have served as an independent director of Shenzhen Vantone Holdings Co., Ltd. (300112.SZ). I have served as an independent director of the Company since December 2023.
