JunZeJun Law Offices (Shenzhen) (hereinafter referred to as the "Firm") has been appointed by Shenzhen Fuanna Home Furnishings Co., Ltd. (hereinafter referred to as "Fuanna" or the "Company") as its special legal counsel for the sixth phase restricted stock incentive plan (hereinafter referred to as the "Equity Incentive Plan"). In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Administrative Measures for Equity Incentives of Listed Companies" (hereinafter referred to as the "Administrative Measures"), and other relevant current laws, regulations, and normative documents issued by the China Securities Regulatory Commission (hereinafter referred to as the "CSRC"), as well as the "Articles of Association of Shenzhen Fuanna Home Furnishings Co., Ltd." (hereinafter referred to as the "Articles of Association") and the "Sixth Phase Restricted Stock Incentive Plan (Revised Draft) of Shenzhen Fuanna Home Furnishings Co., Ltd." (hereinafter referred to as the "Sixth Phase Restricted Stock Incentive Plan (Revised Draft)"), this legal opinion is hereby issued regarding the failure to meet the vesting conditions for the third vesting period of the first tranche and the second vesting period of the reserved tranche of Fuanna's sixth phase restricted stock incentive plan, and the subsequent repurchase and cancellation of certain restricted shares (hereinafter referred to as the "Repurchase and Cancellation").
