Legal Opinion of AllBright Law Offices on the 2025 Annual General Meeting of Zhejiang Yongtai Technology Co., Ltd.

AllBright Law Offices (hereinafter referred to as "the Firm") has been engaged by Zhejiang Yongtai Technology Co., Ltd. (hereinafter referred to as "the Company" or "Yongtai Technology") to issue this legal opinion regarding the relevant matters of the Company's 2025 Annual General Meeting (hereinafter referred to as "the Meeting"). In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as "the Company Law"), the "Rules for Shareholders' Meetings of Listed Companies," and other relevant laws, regulations, and normative documents, as well as the "Articles of Association of Zhejiang Yongtai Technology Co., Ltd." (hereinafter referred to as "the Articles of Association"), this legal opinion is hereby issued.
In order to issue this legal opinion, the Firm and its lawyers have strictly performed their statutory duties in accordance with the "Administrative Measures for Law Firms Engaging in Securities Legal Business" and the "Practice Rules for Law Firms Engaging in Securities Legal Business (Trial)," adhering to the principles of diligence, due care, and good faith. We have conducted necessary investigations and verifications on the relevant matters involved in the Meeting, examined the relevant documents and materials that the Firm deems necessary for issuing this legal opinion, and participated in the entire process of the Meeting. The Firm guarantees that the facts identified in this legal opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false records, misleading statements, or material omissions, and we are willing to bear the corresponding legal responsibilities.
Accordingly, based on the requirements of the aforementioned laws, regulations, rules, and normative documents, and in accordance with the universally recognized professional standards, ethical norms, and spirit of diligence and due care in the legal profession, the Firm's lawyers hereby issue the following legal opinion:
I. Qualifications of the Convener and Procedures for Convening and Holding the Meeting
(I) Convening of the Meeting
Upon verification, the Meeting was convened by the Company's Board of Directors. On April 28, 2026, the Company held the Seventh Board of Directors' Seventh Meeting, which resolved to convene the Meeting.
The Company published the "Notice of the 2025 Annual General Meeting of Zhejiang Yongtai Technology Co., Ltd." on the Juchao Information Network (http://www.cninfo.com.cn) on April 28, 2026. The aforementioned meeting notice specified the convener, date and time of the Meeting (including the date and time of the on-site meeting and the date and time of online voting), the method of convening, the stock registration date, the attendees, the meeting location, the matters to be deliberated, the registration method for the on-site meeting, the specific operating procedures for participating in online voting, and the meeting contact person and contact information. The announcement was published 20 days prior to the convening of the Meeting.
(II) Holding of the Meeting
The on-site meeting was held as scheduled on May 18, 2026, at 3:00 PM in the second-floor conference room of the Company's office building.
The Meeting was held using a combination of on-site voting and online voting. The online voting period through the Shenzhen Stock Exchange trading system was from 9:15 AM to 9:25 AM, 9:30 AM to 11:30 AM, and 1:00 PM to 3:00 PM on May 18, 2026. The online voting period through the Shenzhen Stock Exchange's internet voting system was any time between 9:15 AM and 3:00 PM on May 18, 2026.
After review, the Firm's lawyers are of the opinion that the convener's qualifications are legal and valid, and the procedures for convening and holding the Meeting comply with the "Company Law," the "Rules for Shareholders' Meetings of Listed Companies," and other relevant laws, regulations, normative documents, and the "Articles of Association."
