Zhejiang Yongtai Technology Co., Ltd. 2026 Plan for Directors' and Senior Management's Remuneration

In accordance with the "Articles of Association," "Company Directors' and Senior Management's Remuneration Management System," and other regulations, combined with the Company's actual operational development and referencing industry and regional remuneration levels, the Company has formulated the 2026 Plan for Directors' and Senior Management's Remuneration, as follows:
I. Applicable Objects Company directors, senior management.
II. Applicable Period January 1, 2026, to December 31, 2026.
III. Remuneration Plan
- Independent directors of the Company shall receive a fixed allowance of RMB 100,000 per year. They shall not participate in the Company's internal performance-linked assessments and will be paid annually.
- The remuneration for non-independent directors and senior management of the Company shall consist of base salary, performance bonuses, and long-term incentives. The proportion of performance bonuses shall not be less than fifty percent of the total base salary and performance bonuses. Base salary shall be determined based on factors such as job responsibilities, capabilities, and market remuneration levels, and shall be paid monthly. Performance bonuses shall be determined and paid based on the Company's annual operating performance, individual performance assessment results, and other comprehensive factors. A certain proportion of performance bonuses will be paid after the annual report is disclosed and the performance evaluation is completed. Long-term incentive income shall be handled in accordance with the incentive plan. The specific remuneration amounts will be determined by the Remuneration and Assessment Committee of the Board of Directors, authorized by the Board of Directors, based on their performance assessment results.
