Links Law Offices (hereinafter referred to as "the Firm") has been entrusted by Shanghai HPRL Composite Materials Co., Ltd. (hereinafter referred to as "the Company") to appoint lawyers Zheng Jiangwen and Dai Rixin (hereinafter collectively referred to as "the Firm's lawyers") to issue this legal opinion regarding the Company's 2025 Annual General Meeting (hereinafter referred to as "the Meeting") in accordance with the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Rules for Shareholders' Meetings of Listed Companies," and other relevant laws, regulations, and normative documents (hereinafter collectively referred to as "Laws and Regulations") and the Articles of Association of Shanghai HPRL Composite Materials Co., Ltd. (hereinafter referred to as "the Articles of Association").
The Firm's lawyers have reviewed and verified the legal documents and other documents and materials provided by the Company in relation to the Meeting. During the review and verification process, the Company has assured the Firm that all signatures, seals, and stamps on the documents provided to the Firm are authentic, and that all documents submitted as originals are true, accurate, complete, and valid. For documents submitted as copies or duplicates, they are consistent with the originals.
