2025 Annual Report of Independent Director
To all shareholders and shareholder representatives:
As an independent director of Shanghai Pulite Composite Materials Co., Ltd. (hereinafter referred to as the "Company"), in accordance with the "Company Law," "Securities Law," "Measures for the Administration of Independent Directors of Listed Companies," "Shenzhen Stock Exchange Listed Company Standard Operation Guide," and the Company's "Independent Director System," "Articles of Association," and other relevant laws, regulations, and regulatory documents, I have faithfully and diligently performed my duties during my term of office in 2025. I have actively undertaken all responsibilities of an independent director, conscientiously reviewed all proposals from the independent director's special committee, the board's special committees, and the board of directors, fully exercised my professional independence, and strived to safeguard the overall interests of the Company and the legitimate rights and interests of all shareholders, especially small and medium shareholders, and promote the standardized operation of the Company.
Herein is a report on my performance of independent director duties during my term of office in 2025:
I. Basic Information of Independent Director
During the reporting period, I served as an independent director for the sixth and seventh Boards of Directors of the Company, possessing relevant professional qualifications and capabilities, and having accumulated rich experience in my professional field.
(I) Personal Work Experience, Professional Background, and Concurrent Positions
Qian Junlv, male, Manchu, a native of Shanghai. Graduated from the Department of Chemistry, Shanghai University, with a major in Organic and Polymer Synthesis (1977 cohort), holding a Bachelor of Science degree. Commenced work in May 1970, having served as a sent-down youth at the Yinlonghe Farm in Heilongjiang; a technician at the Qiqihar Railway Bureau Vehicle Factory; and Deputy Director of Shanghai Dongfeng Rubber No. 2 Factory. Began working at Tongji University in August 1988, obtained the title of Associate Professor in January 1994, and was promoted to Full Professor in July 2000. Served as Deputy Director and Director of the Department of Chemistry, Tongji University; Deputy Director of the School of Science, Tongji University. Retired in November 2018. Was repeatedly recognized as an outstanding student during my studies. Was repeatedly recognized as an advanced worker during my tenure. Actively organized and participated in multiple provincial and ministerial level scientific research projects and National Natural Science Foundation projects, with many achievements receiving awards, obtaining patents, or publishing papers. Served as a director of the Shanghai Chemical Industry Association; received honors such as the Shanghai Yucai Award. Joined the China National Democratic Construction Association (Minjian) in January 1994. Was recognized as an outstanding member of Minjian nationwide. Served as a member of the second committee and director of the third committee of the Minjian Tongji University Branch. Served as Chairman of the first and second committees of the Minjian Tongji University Committee. Served as a member and standing committee member of the Minjian Shanghai Municipal Committee. Served as Deputy Director and Director of the Minjian Shanghai Municipal Committee for Science, Education, Culture, and Health. Served as a member of the Minjian Central Committee for Science, Education, Culture, and Health. Served as a people's representative of Chongming County People's Congress, Shanghai. Served as a member of the 10th Shanghai Municipal Committee of the Chinese People's Political Consultative Conference, and a member of the 11th and 12th Shanghai Municipal Committee of the Chinese People's Political Consultative Conference. Served as Vice President of the Tongji University Association for Ethnic Minorities. Currently serves as Deputy Head of the Shanghai CPPCC Friends Education Group.
