Guotai Junan Securities Co., Ltd. (hereinafter referred to as "Guotai Junan" or "the Sponsor") as the continuing supervision institution of Shanghai Pulite Composite Materials Co., Ltd. (hereinafter referred to as "Pulite" or "the Company" or "the Listed Company"), in accordance with the "Administrative Measures for Securities Issuance and Listing Sponsorship Business," "Supervision Regulations for Raised Funds of Listed Companies," "Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange," "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 13 - Sponsorship Business," and "Shenzhen Stock Exchange Main Board Listed Company Governance Guidelines No. 1," and other relevant regulations, has prudently audited the storage and use of raised funds by the listed company in 2025. The details are as follows:
I. Basic情况 of Raised Funds
(I) Amount of Raised Funds and Time of Receipt
According to the "Approval Letter on the Registration of the Issuance of Shares to Specific Objects by Shanghai Pulite Composite Materials Co., Ltd." issued by the China Securities Regulatory Commission (Document No. [2023]1073), the Company issued 96,084,327 ordinary shares (A shares) to specific objects, with a total raised fund of RMB 1,079,026,992.21. After deducting various issuance expenses, the net amount of raised funds was RMB 1,068,775,247.51. The receipt of the above raised funds was verified by Zhonghua Certified Public Accountants (Special General Partnership), which issued the Capital Verification Report No. 08405 (2023).
