The change in equity involves Shandong Quancheng Technology Co., Ltd. (hereinafter referred to as "Quancheng Technology") transferring all of its 448,114,580 shares in Shandong Yabo Technology Co., Ltd. (hereinafter referred to as the "Company") (accounting for 21.1290% of the listed company's equity) through a gratuitous transfer. Of these, 362,972,810 shares (accounting for 17.1145% of the listed company's equity) were gratuitously transferred to Zaozhuang Caishui Holdings Group Co., Ltd. (hereinafter referred to as "Zaozhuang Caishui"), and 85,141,770 shares (accounting for 4.0145% of the Company's equity) were gratuitously transferred to Shandong Caihui Holdings Group Co., Ltd. (hereinafter referred to as "Shandong Caihui"). Following the completion of the transfer, the Company's control has changed. On May 27, 2026, the Company received a notification letter from its controlling shareholder, Quancheng Technology, stating that Quancheng Technology had signed the "Gratuitous Transfer Agreement for State-owned Equity" with Zaozhuang Caishui and Shandong Caihui.
On May 29, 2026, Quancheng Technology disclosed the "Simplified Equity Change Report," and Zaozhuang Caishui disclosed the "Detailed Equity Change Report."
On June 10, 2026, the financial advisor appointed by Zaozhuang Caishui, Zhongtai Securities Co., Ltd., issued the "Financial Advisor's Opinion on the Detailed Equity Change Report of Shandong Yabo Technology Co., Ltd."
