I. Overview of Related Party Transactions
Zhuhai Leton Chemical Co., Ltd. (hereinafter referred to as "the Company" or "Leton Shares") and its wholly-owned subsidiary Zhuhai Leton New Material Technology Co., Ltd. (hereinafter referred to as "Leton New Material") have applied for a comprehensive credit line totaling no more than RMB 19,500,000,000 (subject to the final credit line approved by the bank) from the Gaoxin Branch of Zhuhai Rural Commercial Bank Co., Ltd. (hereinafter referred to as "Zhuhai Rural Commercial Bank Gaoxin Branch"). The Company's controlling shareholder, Shenzhen Dasheng Asset Management Co., Ltd. (hereinafter referred to as "Dasheng Asset"), and actual controller, Mr. Zhou Zhenke, will provide joint and several liability guarantees for the aforementioned comprehensive credit line of RMB 19,500,000,000. This joint and several liability guarantee is gratuitous and will not incur any fees from the Company, nor will it require any counter-guarantee from the Company.
