I. Transaction Overview
Due to operational needs, Yang Wei and Lin Yang, minority shareholders of Lianmei Da Biotechnology (Dalian) Co., Ltd. (hereinafter referred to as "Lianmei Da"), a subsidiary controlled by Jilin Yalian Development Technology Co., Ltd. (hereinafter referred to as "Yalian Development" or "the Company"), plan to swap their respective holdings of 24.5% equity in Lianmei Da for equity in Lianmei Tu Biotechnology (Dalian) Co., Ltd. (hereinafter referred to as "Lianmei Tu"), a wholly-owned subsidiary of Lianmei Da. Yang Wei and Lin Yang will reduce their capital in Lianmei Da by RMB 2,450,000 each, with a corresponding capital reduction consideration of RMB 2,835,600 each. After Lianmei Da's capital reduction, its registered capital will decrease from RMB 10,000,000 to RMB 5,100,000, and the Company will hold 100% equity in Lianmei Da. Following Lianmei Da's capital reduction, Yang Wei and Lin Yang will each contribute RMB 124,950 to Lianmei Tu. To maintain the Company's equity ratio in Lianmei Tu, Lianmei Da will also contribute RMB 10,000 to Lianmei Tu. After Lianmei Tu's capital increase, its registered capital will increase from RMB 2,600,000 to RMB 5,100,000, with Lianmei Da contributing RMB 2,601,000, holding a 51% stake; Yang Wei contributing RMB 124,950, holding a 24.5% stake; and Lin Yang contributing RMB 124,950, holding a 24.5% stake.
