These plans were reviewed and approved by the Ninth Meeting of the Sixth Board of Directors' Remuneration and Assessment Committee on March 6, 2026, and were submitted for the Board of Directors' review. The Board of Directors reviewed and approved the "2026 Senior Management Salary Plan" on March 18, 2026, and unanimously agreed to submit the "2026 Director Salary Plan" for resolution at the 2025 Annual Shareholders' Meeting. III. Salary (Allowance) Standards and Distribution Methods
- Director Salary (Allowance) Plan Non-independent directors who concurrently hold senior management positions in the Company will receive salaries according to the Senior Management Salary Plan and will not receive additional director salaries or allowances. Non-independent directors who hold other positions in the Company will receive salaries according to their specific roles and positions and will not receive additional director salaries or allowances. For directors who do not hold positions in the Company and independent directors, the allowance standard is RMB 100,000 per year (including tax), paid quarterly.
- Non-independent Directors Holding Other Positions in the Company and Senior Management Salary Plan For non-independent directors holding other positions in the Company and senior management, their salaries are composed of basic salary, performance-based salary, and long-term incentive income. Basic salary is determined based on industry salary levels, job responsibilities, and performance. Performance-based salary is linked to the completion of the Company's annual performance targets and individual performance appraisal indicators, and is coordinated with the Company's sustainable development. The proportion of performance-based salary shall, in principle, not be less than 50% of the total basic and performance-based salary. IV. Other Provisions
- The salaries of non-independent directors and senior management personnel holding positions in the Company will be paid in accordance with the Company's wage system. A certain proportion of performance-based salary will be paid after the annual report disclosure and performance evaluation, and the performance evaluation will be based on audited financial data.
- If a director or senior management member leaves office due to board reshuffling, election changes, resignation during their term, etc., their salary will be paid based on their actual tenure and performance appraisal. If there are related compensation matters, the Company shall comply with the principle of fairness and shall not infringe upon the Company's legitimate rights and interests.
- The above salaries are pre-tax amounts. Relevant taxes payable by individuals will be withheld and paid by the Company. The Company may adjust the salaries (allowances) of directors and senior management personnel based on industry conditions and the Company's actual production and operating situation. V.
