Hello everyone!
As an independent director of Guangdong Haida Group Co., Ltd. (hereinafter referred to as the "Company"), in 2025, I have strictly followed the "Company Law," "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Main Board Listed Company Self-Regulatory Management Guide No. 1 - Norms for Operations of Main Board Listed Companies," and other laws and regulations, as well as the "Company Articles of Association" and the "Company's Independent Director Work System" to diligently, faithfully, and responsibly perform my duties. I have fully leveraged the role of an independent director to safeguard the overall interests of the Company and the legitimate rights and interests of all shareholders, especially small and medium shareholders.
I officially resigned from my position as an independent director of the Sixth Board of Directors of the Company on June 16, 2025, upon the expiration of the term, and no longer hold positions as an independent director or member of any special committee of the Sixth Board of Directors. As an independent director of the Company, after self-inspection, I confirm that during my tenure in 2025, I complied with the relevant requirements for the independence of independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Main Board Listed Company Self-Regulatory Management Guide No. 1 - Norms for Operations of Main Board Listed Companies," and other relevant laws and regulations. There were no circumstances affecting my independence.
II. Annual Performance of Independent Director Duties
(I) Attendance at Board Meetings and Shareholder Meetings
During my tenure in 2025, the Company held 2 board meetings and 3 shareholder meetings. I actively participated in the board and shareholder meetings, diligently listening to the opinions of the Company's shareholders on the Company's operations and management. Before the meetings, I carefully reviewed the proposals and relevant materials, communicated with relevant personnel, actively understood and investigated to obtain the information and materials necessary for decision-making. In the meetings, I diligently reviewed each proposal, actively participated in the discussion of various agenda items, and put forward reasonable suggestions. I exercised my voting rights with prudence, playing a positive role in the correct and scientific decision-making of the Company's board of directors and safeguarding the interests of all shareholders. The board meetings and shareholder meetings convened by the Company in 2025 all complied with legal procedures. Major operational decisions and other major matters underwent relevant procedures and were legal and effective. In 2025, I voted in favor of all proposals at the Company's board meetings.
