I. The Company guarantees that it has provided the firm's lawyers with all true, complete, and accurate original written materials, copies, or oral statements deemed necessary for issuing this legal opinion. All facts and documents that could influence this legal opinion have been disclosed without concealment, falsification, or misrepresentation. The Company guarantees the authenticity, accuracy, and completeness of the aforementioned documents and statements, and that all signatures and seals are genuine. Copies and scanned documents are consistent with the originals.
II. The firm's lawyers, based on the facts and circumstances that have occurred or existed prior to the issuance date of this legal opinion, and in accordance with the laws and regulations of the People's Republic of China (hereinafter referred to as "China," for the purpose of this legal opinion only, excluding the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan Province of China, over which China has sovereignty), and based on their understanding of such applicable laws, hereby issue their legal opinion.
III. For facts crucial to this legal opinion that cannot be independently verified by evidence, the firm's lawyers will rely on certificates issued by relevant government departments, the Company, or other relevant entities, as well as publicly available information from competent authorities, as the basis for this legal opinion.
IV. This legal opinion exclusively pertains to the Chinese domestic legal issues related to the 2021 Incentive Plan. The firm and the handling lawyers are not qualified to provide professional opinions on accounting, auditing, or asset valuation matters, nor on foreign legal matters.
