I. Basic情况 of the Major Asset Purchase
Beijing Oriental Ecology New Energy Co., Ltd. (hereinafter referred to as the "Company") and its wholly-owned subsidiary Hebei Oriental New Energy Enterprise Management Center (Limited Partnership) (hereinafter referred to as "New Energy Enterprise Management Center"), through cash payment, purchased 100% equity of Rui Dian Investment Co., Ltd. in Haicheng Ruihai New Energy Wind Power Generation Co., Ltd. (hereinafter referred to as "Haicheng Ruihai"), and purchased 80% equity of Beijing Electric Power Investment Rui Xiang New Energy Development Co., Ltd. (hereinafter referred to as "Electric Power Investment Rui Xiang") from Bairui Trust Co., Ltd. (hereinafter referred to as "Bairui Trust"). Upon completion of this transaction, Haicheng Ruihai and Electric Power Investment Rui Xiang will become subsidiaries of the Company and will be included in the consolidated financial statements.
According to the "Administrative Measures for Major Asset Restructuring of Listed Companies," this transaction constitutes a major asset restructuring but does not constitute a restructuring for listing. According to the "Company Law," "Securities Law," "Shenzhen Stock Exchange Stock Listing Rules," and other laws and regulations, this transaction does not constitute a related-party transaction.
