(I) Overview of Daily Connected Transactions
Beijing Oriental Ecology New Energy Co., Ltd. (hereinafter referred to as the "Company") held the 16th meeting of the 9th Board of Directors on April 29, 2026, and deliberated and passed the "Proposal on Estimating the Limit of Daily Connected Transactions for 2026," which will be submitted to the shareholders' meeting for deliberation. The Company and its subsidiaries expect to conduct daily connected transactions totaling 37,000,000 yuan with Hainan Ruike Holding Industrial Co., Ltd. (hereinafter referred to as "Hainan Ruike") and its subsidiaries, and 32,000,000 yuan with Yuanling (Xinji) Energy Technology Co., Ltd. (hereinafter referred to as "Xinji Energy") and its subsidiaries for daily production and operation needs in 2026.
This matter has been deliberated and approved by the Second Independent Directors' Special Meeting of the 9th Board of Directors in 2026, and the consent of all independent directors has been obtained. In accordance with the "Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange," this connected transaction needs to be submitted to the shareholders' meeting for deliberation.
