On April 27, 2026, Xinjiang Beixin Road & Bridge Group Co., Ltd. (hereinafter referred to as "Beixin Road & Bridge" or "the Company") held its 30th meeting of the Seventh Board of Directors, which reviewed and approved the "Proposal on Nominating Director Candidates." For specific details, please refer to the "Announcement on Nominating Director Candidates" (Announcement No.: 2026-27) disclosed by the Company on April 28, 2026, in the Securities Times, Securities Daily, China Securities Journal, and on the CNINFO website (http://www.cninfo.com.cn).
On May 12, 2026, the Company held its 2025 Annual Shareholders' Meeting, which reviewed and approved the "Proposal on Nominating Director Candidates." Mr. Du Enhua was elected as a non-independent director of the Seventh Board of Directors, with his term of office commencing from the date of approval by the Shareholders' Meeting until the expiration of the term of the Seventh Board of Directors.
After the above-mentioned appointment takes effect, the number of directors on the Seventh Board of Directors who concurrently serve as senior management personnel of the Company and employee directors does not exceed one-half of the total number of directors of the Company, which complies with relevant laws and regulations.
