Announcement on Progress of Related Litigation Cases

I. Basic Situation
Zhongke Yunwang Technology Group Co., Ltd. (hereinafter referred to as the "Company") announced on December 3, 2025, in designated information disclosure media, that Yangzhou Kechuang Industrial Investment Fund (Limited Partnership) (hereinafter referred to as "Yangzhou Kechuang Fund") filed a lawsuit with the People's Court of Hanjiang District, Yangzhou City, Jiangsu Province (hereinafter referred to as "Yangzhou Hanjiang Court") against the Company's holding subsidiary, Zhongke Yunwang (Gaopost) New Energy Technology Co., Ltd. (hereinafter referred to as "Zhongke Gaopost"), the Company, and its actual controller Chen Ji, with the case being a dispute over a convertible bond investment agreement and repayment agreement. The lawsuit requested the court to order Zhongke Gaopost to pay the principal, interest, and penalty interest of the loan, and hold the Company and its actual controller Chen Ji jointly and severally liable for repayment.
II. Progress of the Case
Recently, the Company received the first-instance "Civil Judgment" served by the Yangzhou Hanjiang Court. The judgment is as follows:
- The defendant Zhongke Gaopost shall, within ten days from the date this judgment takes legal effect, pay the plaintiff Yangzhou Kechuang Fund the principal amount of RMB 47.7 million and interest (calculated from May 1, 2025, to the actual payment date at an annual interest rate of 7%), and penalty interest (calculated based on RMB 47.7 million from August 31, 2025, to the actual payment date at a daily interest rate of 0.03%);
- The defendant Zhongke Gaopost shall, within ten days from the date this judgment takes legal effect, pay the plaintiff Yangzhou Kechuang Fund RMB 10,000 in attorney fees;
- The defendant Chen Ji and the Company shall bear joint and several liability for the aforementioned payment obligations of the defendant Zhongke Gaopost under items 1 and 2;
- The other litigation requests of the plaintiff Yangzhou Kechuang Fund are rejected.
