Legal Opinion on Zhongke Yunwang Technology Group Co., Ltd.'s 2026 First Extraordinary General Meeting
To: Zhongke Yunwang Technology Group Co., Ltd. (hereinafter referred to as the "Company")
Beijing Dadi Law Firm (hereinafter referred to as the "Firm") is a law firm legally established and approved by the judicial administrative authorities of the People's Republic of China, with the qualification to practice law in the People's Republic of China. The Firm was entrusted by the Company to appoint its lawyers, Wang Yiping and Liu Hongguo, to attend and witness the Company's 2026 First Extraordinary General Meeting held on February 27, 2026, at 14:00 in Conference Room 1006, Block C, Dongxu International Center, No. 2, Sihe Zhuang Road, Fengtai District, Beijing, and to issue this Legal Opinion.
In accordance with the "Company Law of the People's Republic of China," the "Rules of Shareholders' Meetings of Listed Companies" (hereinafter referred to as the "Shareholders' Meeting Rules"), and other relevant laws, administrative regulations, rules, and normative documents, as well as the "Articles of Association of Zhongke Yunwang Technology Group Co., Ltd." (hereinafter referred to as the "Articles of Association"), this Legal Opinion is issued regarding the legality of the convening and holding procedures, the qualifications of the convener, the qualifications of the attendees, and the voting procedures and results of this Shareholders' Meeting.
The Firm's lawyers make the following statements regarding the issuance of this Legal Opinion:
- The Firm's lawyers shall only express opinions on the legality of the convening and holding procedures, the qualifications of the convener and attendees, and the voting procedures and results of this meeting. They shall not express opinions on the content of the proposals deliberated at this meeting or the truthfulness, accuracy, and completeness of the facts or data stated in these proposals.
- The Firm's lawyers have conducted necessary investigations and verifications of the relevant matters involved in this meeting as required by relevant regulations, and the conclusions expressed are legal and accurate, with no false statements, misleading statements, or material omissions.
- This Legal Opinion is for the use of the Company for the purpose of this meeting only and shall not be used for any other purpose.
