(hereinafter referred to as "CITIC Securities" or "this Independent Financial Advisor") has been appointed as the independent financial advisor for the major asset sale and connected transaction of Nanguo Real Estate Group Co., Ltd. (hereinafter referred to as "Nanguo Real Estate," "the Listed Company," or "the Company"). This Independent Financial Advisor hereby issues this Continuing Supervision Opinion in accordance with the recognized business standards and ethical norms of the securities industry, with an attitude of honesty, good faith, diligence, and responsibility.

The documents and materials on which this Continuing Supervision Opinion is based have been provided by the parties to this transaction. The providers have undertaken that the aforementioned materials are true, accurate, and complete, and do not contain any false records, misleading statements, or material omissions, and they shall bear individual and joint legal liability for any breaches of these undertakings.

This Independent Financial Advisor has performed its due diligence obligations in accordance with regulations and has sufficient reason to believe that the professional opinions expressed do not have any material differences from the content of the documents disclosed by the Listed Company, and that the information disclosure documents of the Listed Company are true, accurate, and complete.
