The Company and all members of its Board of Directors guarantee that the information disclosed is true, accurate, and complete, and contains no false records, misleading statements, or significant omissions.
Special Reminder: The entities to be guaranteed are all wholly-owned or controlled subsidiaries within the scope of the Company's consolidated financial statements. There are no guarantees for entities outside the scope of the consolidated financial statements. The total amount of guarantees the Company plans to provide this time is no more than RMB 2.795 billion, accounting for 62.72% of the Company's audited net assets as of the end of 2025. The asset-liability ratios of the guaranteed entities, Fujian Meiyin Sen Environmental Protection Technology Co., Ltd. and Dongguan Fenghua Intelligent Manufacturing Technology Co., Ltd., exceed 70%. The planned guarantee amounts for these two companies are no more than RMB 0.4 billion and RMB 0.5 billion, respectively, accounting for 0.9% and 1.12% of the Company's audited net assets as of the end of 2025. Investors are kindly requested to pay close attention to the guarantee risks.
Meiyin Sen Group Co., Ltd. (hereinafter referred to as the "Company") held its Second Meeting of the Seventh Board of Directors on April 1, 2026, and approved the "Proposal on Providing Guarantees for Subsidiaries" by a vote of 5 in favor, 0 against, and 0 abstentions. The Company agreed to provide guarantees for relevant subsidiaries totaling no more than RMB 2,795,000,000 for bank financing business. The guarantee methods include, but are not limited to, joint and several liability guarantees. The guarantee period is from the date of approval by the 2025 shareholders' meeting to the date of the 2026 shareholders' meeting. Within the guarantee period, the aforementioned guarantee amount can be used cyclically.
