Special Opinion on the Assessment of Independent Directors' Independence
In accordance with the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 1 - Normative Operation of Main Board Listed Companies," and China Construction Western Construction Co., Ltd.'s (hereinafter referred to as the "Company") "Independent Director Management Regulations," the Board of Directors hereby assesses the independence of the current independent directors, Ms. Zhang Haixia, Mr. Liao Zhongxin, Mr. Yang Bo, and Ms. Feng Yuan, and issues the following special opinion:
Upon review of the resumes of independent directors Ms. Zhang Haixia, Mr. Liao Zhongxin, Mr. Yang Bo, and Ms. Feng Yuan, and their signed self-assessment documents on independence, it is confirmed that the aforementioned individuals do not hold any positions in the Company other than independent director, nor do they hold any positions in the Company's main shareholders' companies. They have no conflict of interest or other relationships with the Company and its major shareholders that could hinder their independent and objective judgment. There are no circumstances that affect the independence of the independent directors, which complies with the requirements for the independence of independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 1 - Normative Operation of Main Board Listed Companies," and the Company's "Independent Director Management Regulations."
