I. Overview of Outward Investment
1. Basic Situation of Outward Investment
To support the development of its subsidiaries, China West Construction Group Co., Ltd. (hereinafter referred to as the "Company") will inject RMB 70 million in cash through its wholly-owned subsidiary, Xinjiang China West Construction Co., Ltd. (hereinafter referred to as "Xinjiang Company"), to its wholly-owned subsidiary, Jinan China West Construction Co., Ltd. (hereinafter referred to as "Jinan Company"). Upon completion of this capital increase, Jinan Company's registered capital will increase from RMB 50 million to RMB 120 million, and Xinjiang Company will continue to hold 100% of its equity.
2. Deliberation of Outward Investment
On March 16, 2026, the Company held the 29th meeting of the 8th Board of Directors. The resolution on "Proposal on Increasing the Registered Capital of Jinan China West Construction Co., Ltd." was reviewed and approved with 9 votes in favor, 0 votes against, and 0 abstentions. This outward investment matter does not require submission to the Company's shareholders' meeting for deliberation.
