Grandall Law Firm (Shenzhen) (hereinafter referred to as the "Firm") has been appointed by Shenzhen Qixin Group Co., Ltd. (hereinafter referred to as the "Company" or "Qixin Group") as the special legal counsel for the Company's 2026 Restricted Stock Incentive Plan (hereinafter referred to as the "Incentive Plan").
The Firm's lawyers, in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Administrative Measures for Equity Incentives of Listed Companies" (hereinafter referred to as the "Administrative Measures"), the "Listing Rules of the Shenzhen Stock Exchange" (hereinafter referred to as the "Listing Rules"), the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guide No. 1 - Business Handling" (hereinafter referred to as the "Supervision Guide No. 1"), and other relevant laws, administrative regulations, and normative documents, as well as the "Articles of Association of Shenzhen Qixin Group Co., Ltd." (hereinafter referred to as the "Articles of Association"), and in accordance with the recognized business standards, ethical norms, and diligent and conscientious spirit of the legal profession, have inspected and verified the relevant documents and existing facts concerning Qixin Group's 2026 Restricted Stock Incentive Plan, and hereby issue this Legal Opinion.

In order to issue this Legal Opinion, the Firm's lawyers have, in accordance with the "Company Law," the "Administrative Measures," the "Administrative Measures for Securities Legal Business of Law Firms," and the "Practice Rules for Securities Legal Business of Law Firms," conducted a thorough investigation and verification of the facts that have occurred or exist as of the date of issuance of this Legal Opinion and are related to the Incentive Plan. They have adhered to the principles of diligence, conscientiousness, honesty, and good faith, and guarantee that the facts identified in this Legal Opinion are true, accurate, and complete, and that there are no false records, misleading statements, or material omissions.
During the aforementioned investigation and verification process, the Company has provided the following assurances to the Firm's lawyers: the Company has provided the Firm's lawyers with all necessary original written materials, duplicate materials, written statements, and oral testimony that are essential for the issuance of this Legal Opinion; the information provided and facts disclosed to the Firm's lawyers are free from any falsehood, concealment, misleading statements, or material omissions; the duplicate materials provided to the Firm's lawyers are consistent with the originals, photocopies are consistent with the originals, all signatures and seals on the provided documents are true and valid, and all oral statements are consistent with the facts.
The Firm's lawyers will only express opinions on legal issues related to the Incentive Plan. The citation of professional documents such as accounting and auditing documents in this Legal Opinion does not imply any express or implied guarantee by the Firm's lawyers regarding the truthfulness and accuracy of such professional documents and their cited content. The Firm's lawyers do not possess the professional qualifications to inspect and judge such professional documents and their cited content.
