Statement
The Company and all members of the Board of Directors guarantee that this incentive plan does not contain any false records, misleading statements, or significant omissions, and they shall bear individual and joint liability for the authenticity, accuracy, and completeness of its content.
All incentive recipients of the Company undertake that if the Company's information disclosure documents contain false records, misleading statements, or significant omissions, leading to non-compliance with the equity grant or exercise arrangements, the incentive recipients shall return all benefits obtained from the equity incentive plan to the Company after the relevant information disclosure documents are confirmed to contain false records, misleading statements, or significant omissions.
Special Notes
I. This incentive plan is formulated in accordance with the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Administrative Measures for Equity Incentives of Listed Companies," and other relevant laws, administrative regulations, normative documents, and the "Articles of Association of Shenzhen Qixin Group Co., Ltd."
II. The incentive method adopted by this incentive plan is restricted stock. The source of the shares is ordinary shares of Class A common stock of the Company to be issued to incentive recipients.
III. The number of restricted shares to be granted to incentive recipients under this incentive plan is 2,700,000 shares, accounting for 0.37% of the Company's total share capital of 721,307,933 shares as of the announcement date of this incentive plan draft. This grant is a one-time grant, with no reserved equity. As of the announcement date of this incentive plan draft, the total number of shares involved in all valid equity incentive plans of the Company has not exceeded 10.00% of the Company's total share capital. The number of shares granted to any single incentive recipient through all valid equity incentive plans has not exceeded 1.00% of the Company's total share capital.
