To all shareholders and shareholder representatives:
As an independent director of Fujian Nanping Power Cable Co., Ltd. (hereinafter referred to as the "Company"), I have faithfully performed my duties with diligence and responsibility in 2025, in accordance with the "Company Law," "Management Measures for Independent Directors of Listed Companies," "Corporate Governance Guidelines for Listed Companies," "Shenzhen Stock Exchange Stock Listing Rules," "Shenzhen Stock Exchange Main Board Listed Company Normative Operation Guide No. 1," and other relevant laws, administrative regulations, departmental rules, normative documents, and the "Articles of Association." During the reporting period, I focused on the Company's standardized operations and compliant governance, reviewed production and operation reports, and actively participated in board and special committee meetings. I provided independent judgments and objective opinions on major matters, fully safeguarding the legitimate rights and interests of the Company and its shareholders, especially small and medium shareholders. The following is a report on my performance in 2022:
I. Independence Status
In 2025, I strictly adhered to the requirements of the "Management Measures for Independent Directors of Listed Companies," "Corporate Governance Guidelines for Listed Companies," and other laws, regulations, and normative documents, maintaining complete independence. Self-inspection confirmed that I do not hold any position that is prohibited by laws, regulations, or the "Articles of Association" for independent directors. Apart from serving as a member of the Company's special committees, I do not hold any other positions within the Company. I have no form of relationship, business dealings, or profit arrangements with the Company, its controlling shareholders, or actual controllers. In all board and special committee meetings, I independently expressed opinions and exercised voting rights based on facts and evidence, effectively ensuring the objectivity and fairness of decision-making.
