Chapter 1 General Provisions
Article 1 To regulate the resignation procedures of directors and senior management of Fujian Sunner Development Co., Ltd. (hereinafter referred to as the Company), in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Guidelines on Corporate Governance for Listed Companies" issued by the China Securities Regulatory Commission (hereinafter referred to as the CSRC), the "Guiding Opinions on the Articles of Association of Listed Companies," the "Management Rules on the Holding and Changes of Shares of Listed Companies by Directors, Supervisors and Senior Management," the "Stock Listing Rules of Shenzhen Stock Exchange" issued by the Shenzhen Stock Exchange, the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guide No. 1 - Normative Operation of Main Board Listed Companies" (hereinafter referred to as the "Normative Operation"), and other relevant laws, regulations, rules, normative documents, and the "Articles of Association of Fujian Sunner Development Co., Ltd." (hereinafter referred to as the "Articles of Association"), and in combination with the Company's actual situation, this system is formulated.
Article 2 This system applies to all directors and senior management of the Company who resign (voluntarily resign), whose terms expire, who are removed or dismissed, or who resign for other reasons.
