Chapter 1 General Provisions
Article 1 To further improve the compensation management of directors and senior management of Anhui Zhongdian Xinlong Technology Co., Ltd. (hereinafter referred to as the "Company"), establish a scientific and effective incentive and restraint mechanism, fully mobilize the enthusiasm, initiative, and creativity of the work of the Company's directors and senior management, and improve the Company's operational and management efficiency, this system is formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Guiding Principles on Corporate Governance of Listed Companies," and other relevant laws and regulations, as well as the "Articles of Association of Anhui Zhongdian Xinlong Technology Co., Ltd." (hereinafter referred to as the "Articles of Association"), and in conjunction with the specific situation of the Company.
Article 2 This system applies to directors and senior management as stipulated in the "Articles of Association." Directors refer to all members of the Company's board of directors, including internal directors (including employee directors) and independent directors; senior management refers to the Company's general manager, deputy general managers, board secretary, financial controller, chief engineer, and other personnel deemed applicable to this system by the Company's Compensation and Assessment Committee.
